Affiliate Program Agreement
Effective Date: June 5, 2026Section 01
Parties
This Affiliate Program Agreement ("Agreement") is entered into as of the Effective Date above, between:
Valdeen Hair, a business operating under the laws of the State of Georgia ("Company"), and
The individual accepted into The Valdeen Vault program ("Affiliate").
By checking the agreement checkbox during the application process, Affiliate agrees to be bound by the terms of this Agreement. This electronic acceptance constitutes a legally binding agreement under the laws of the State of Georgia.
Section 02
Program Overview
The Valdeen Vault is an invitation-only affiliate program operated by Valdeen Hair. Membership is selective, limited, and may be revoked at the Company's sole discretion. Participation in the program does not constitute employment, partnership, or any other business relationship beyond that of an independent contractor.
Section 03
Affiliate Responsibilities
As a member of The Valdeen Vault, Affiliate agrees to:
- Promote Valdeen Hair products honestly, authentically, and in accordance with all applicable laws and regulations, including FTC disclosure guidelines.
- Clearly disclose their relationship with Valdeen Hair in all promotional content using language such as "#ad," "#sponsored," or "I partner with Valdeen Hair."
- Maintain a minimum of 5 successful referral orders per calendar quarter to retain active status.
- Represent the Valdeen Hair brand in a professional and positive manner across all public platforms.
- Refrain from making false, misleading, or disparaging statements about Valdeen Hair, its products, or its affiliates.
- Not use Valdeen Hair's trademarks, logos, or branded materials outside of program-approved assets without prior written consent.
Section 04
Compensation & Rewards
Sign-On Bonus
Every accepted Affiliate receives a store credit sign-on bonus upon acceptance, credited within 7 business days. The bonus amount will be outlined in your Welcome Email.
Referral Store Credit
Earn store credit for each successful referral order generated through your unique link or discount code.
Tiered Commissions
Your full commission structure and tier details will be outlined in your Welcome Email upon acceptance.
Cash Bonuses
Top performers may receive discretionary cash bonuses, paid via PayPal to the email on file.
4.1 — Sign-On Bonus
Upon acceptance into The Valdeen Vault, Affiliate will receive a one-time sign-on bonus in Valdeen Hair store credit, the amount of which will be communicated in the Welcome Email, credited to their account within 7 business days of agreement acceptance.
4.2 — Referral Store Credit
Affiliate will earn store credit for each successful referral order generated through their unique referral link or discount code. Referral credit rates are subject to change at the Company's discretion with reasonable notice to active affiliates.
4.3 — Tiered Commission Structure
The full commission structure, including all tier levels and thresholds, will be outlined in the Welcome Email sent to Affiliate upon acceptance into The Valdeen Vault. Affiliate is encouraged to retain this email for reference.
Valdeen Hair reserves the right to modify the commission structure at any time at its sole discretion. Affiliates will always be notified of any changes to the commission structure prior to those changes taking effect. Continued participation in The Valdeen Vault following notification of changes constitutes acceptance of the updated commission structure.
4.4 — Cash Bonuses
The Company may, at its sole discretion, award cash bonuses to top-performing affiliates. Cash bonuses will be paid via PayPal to the email address on file in Affiliate's account on file. Cash bonuses are not guaranteed and do not constitute a recurring obligation of the Company.
4.5 — Store Credit Terms
Store credit is non-transferable, has no cash value, and may only be applied toward purchases on the Valdeen Hair website. Store credit earned through referrals does not expire while Affiliate maintains active status in the program.
Section 05
Intellectual Property
Valdeen Hair retains all rights to its trademarks, trade names, logos, and branded content. Affiliate is granted a limited, non-exclusive, non-transferable license to use Company-approved marketing materials solely for the purpose of promoting Valdeen Hair products during the term of this Agreement. Any content created by Affiliate featuring Valdeen Hair products grants the Company a perpetual, royalty-free license to repost or share such content with appropriate credit.
Section 06
Confidentiality
Affiliate agrees to keep confidential any non-public information shared by the Company, including but not limited to commission structures, upcoming product launches, pricing strategies, and program details. This obligation survives the termination of this Agreement.
Section 07
Term & Termination
7.1 — Term
This Agreement begins on the date Affiliate accepts these terms during the application process and continues until terminated by either party.
7.2 — Termination by Company
Valdeen Hair reserves the right to terminate Affiliate's membership in The Valdeen Vault immediately and without prior notice for any reason, including but not limited to:
- Failure to meet the minimum 5 referral orders per quarter requirement
- Conduct that reflects negatively on the Valdeen Hair brand
- Violation of any term of this Agreement
- Any activity the Company deems inconsistent with its values or brand standards
7.3 — Termination by Affiliate
Affiliate may terminate this Agreement at any time by providing written notice to Valdeen Hair at the contact information listed in Section 11.
7.4 — Effect of Termination
Upon termination, Affiliate's access to The Valdeen Vault portal, referral links, and exclusive discount codes will be deactivated. Any earned but unpaid store credit will be forfeited upon termination unless otherwise agreed in writing. The sign-on bonus store credit may be reclaimed by the Company if Affiliate's account is terminated within 90 days of onboarding.
Section 08
Representations & Warranties
Affiliate represents and warrants that:
- They are at least 18 years of age.
- They have the legal authority to enter into this Agreement.
- Their promotional activities will comply with all applicable federal, state, and local laws, including FTC endorsement guidelines.
- They will not engage in any deceptive, fraudulent, or misleading promotional practices.
Section 09
Limitation of Liability
In no event shall Valdeen Hair be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or Affiliate's participation in The Valdeen Vault program. The Company's total liability shall not exceed the total store credit earned by Affiliate in the three (3) months preceding the claim.
Section 10
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts of the State of Georgia.

Section 12
Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, and understandings. This Agreement may be amended only by written consent of Valdeen Hair, with notice provided to all active Affiliates prior to any amendments taking effect.
Section 13
Third-Party Platform Terms
By participating in The Valdeen Vault Affiliate Program, Affiliate agrees to comply with the GoAffPro Affiliate Program Operating Agreement, available at https://affiliate.valdeenhair.com/program-legal/terms. Affiliate is encouraged to read and retain a copy of the GoAffPro Operating Agreement for their records.
In the event of any conflict between the GoAffPro Operating Agreement and this Valdeen Vault Affiliate Program Agreement, the terms of this Agreement shall govern and control.
